In this presentation, Attorney Chris Gelwicks, licensed in both NC and SC, discusses what board members should do when they're told "You'll be hearing from my lawyer!!!" by association members. First covered is guidance on analyzing the reality of the threat - can a board member really be sued for the issue at hand? He also goes over protections for board members given by state statutes and governing documents and the importance of having D&O insurance. Some threats, of course, should be taken seriously, but by employing some best practices and remembering fiduciary duties, these threats can be altogether avoided.
